On-Demand Service Terms

By requesting or receiving on-demand services from MP Technology (“Provider”), Customer agrees to the following terms:

Services are billed hourly, with a two-hour minimum for new customers. Provider determines the applicable service tier and rates based on the nature of the work performed. Hardware, software, licensing, and other materials are billed separately. On-site visits may incur mileage-based trip charges, and tolls will be billed as incurred. Travel time may also be billable where applicable. Provider reserves the right to determine whether services can be performed remotely or require an on-site visit.

Payment is due upon completion of services (COD). No credit or net terms are offered for on-demand work. Accepted forms of payment include credit card, ACH, or check. Credit card payments are subject to a 3% processing fee. Returned or declined payments are subject to a $35 fee or actual bank charges, whichever is greater. Overdue balances are subject to a late charge of 1.5% per month (or the maximum rate permitted by law) as well as reasonable collection costs. Provider reserves the right to suspend services until payment is received in full. Any hardware, software, or other items supplied by Provider remain the property of Provider until paid in full.

Customers may purchase prepaid blocks of service hours, which expire twelve (12) months after purchase. Quotes or estimates may be provided upon request; otherwise, all work is billed at actual time and materials. Customers are responsible for communicating any budget limits or hourly caps before work begins.

Provider may deliver services through secure, cloud-based remote access tools. One-time sessions require customer initiation (such as entering a session code). Persistent or unattended access, such as through an agent-based tool, requires separate written authorization. Customers may decline remote support, in which case services will be performed on-site and subject to applicable trip charges.

All on-demand services are provided “as-is” without warranty or guarantee of outcome. All time worked is billable regardless of resolution achieved. Customers are solely responsible for ensuring their data is properly backed up before service. MP Technology is not liable for data loss, corruption, downtime, or any indirect, incidental, or consequential damages. Liability for any claim is limited to the fees paid for the specific on-demand engagement.

Provider reserves the right to refuse or discontinue services if a customer is abusive, uncooperative, or requests unsafe or unlawful actions.

These terms are governed by the laws of Ohio, with jurisdiction in Medina County, unless otherwise required by law.
